User-Generated Content

When you generate an image using Brat Generator, you retain ownership of the content you create. However, by generating and downloading the images, you grant Brat Generator a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Site and Brat Generator's business operations, including without limitation for promoting and redistributing part or all of the Site.

You are solely responsible for your interactions with other users of the Site and any content that you post. You represent and warrant that: (1) you own the content posted by you on or through the Site or otherwise have the right to grant the rights and licenses set forth in these Terms; and (2) the posting of your content on or through the Site does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

Indemnification

You agree to defend, indemnify and hold harmless Brat Generator, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Use and your use of the Site.

You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

Termination

We may terminate or suspend your access to all or part of the Site, without notice, for any conduct that we, in our sole discretion, believe is in violation of any applicable law or is harmful to the interests of another user, a third-party, a service provider, or us.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Los Angeles, California.

Severability

If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Use remain in full force and effect.

Entire Agreement

These Terms of Use constitute the entire agreement between you and Brat Generator regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. The section titles in these Terms of Use are for convenience only and have no legal or contractual effect.
